Please read these Terms of Service carefully before using the Shule Link platform. By accessing or using our services, you agree to be bound by these terms. If you do not agree, do not use our platform.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between Shule Link Technologies ("Shule Link", "we", "us", or "our") and the school, organisation, or individual ("you" or "Client") that accesses or uses the Shule Link platform and related services.
By clicking "Get Started", signing a service agreement, or using any part of our platform, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy.
If you are entering into these Terms on behalf of an organisation such as a school, you represent that you have the authority to bind that organisation to these Terms.
2. Our Services
Shule Link provides cloud-based software solutions including but not limited to:
- School management and administration software
- Fee management, invoicing, and payment processing
- M-Pesa and bank payment integration
- Bulk SMS and WhatsApp communication tools
- Academic records, attendance, and report management
- Parent portal and communication features
- Transport, library, and inventory management modules
- Other management systems (church, POS, rental, hospital, SACCO, etc.) as agreed
The specific features available to you depend on the package you have subscribed to. Shule Link reserves the right to modify, add, or remove features with reasonable notice to subscribers.
3. Accounts and Access
a) Account creation
To use Shule Link, your school must be set up by our onboarding team. You will be provided with administrator credentials. You are responsible for keeping your credentials secure and for all activity that occurs under your account.
b) User management
The school administrator is responsible for creating, managing, and deactivating user accounts for staff, teachers, and other users. Shule Link is not responsible for actions taken by users you have granted access to.
c) Account security
You must notify us immediately at info@shulelink.co.ke if you suspect any unauthorised access to your account. Shule Link will not be liable for any loss resulting from unauthorised account access that occurs through no fault of ours.
4. Subscriptions and Fees
a) Setup fees
A one-time setup fee is charged per package as detailed in our current pricing. This fee covers system configuration, data migration, integration setup, staff training, and first-term support.
b) Ongoing support and maintenance
From the second term onward, a support and maintenance fee of KES 8,000 per term is charged. This covers platform updates, technical support, and continued access to new features.
c) Additional costs
- Annual domain and hosting: KES 6,500 per year
- SMS messages: KES 0.40 per message
- WhatsApp integration: KES 1,000 per month (Enterprise package)
d) Payment terms
Fees are payable in advance as invoiced. Shule Link reserves the right to suspend access to the platform if outstanding invoices remain unpaid for more than 30 days after the due date, following a written reminder.
e) Refunds
Setup fees are non-refundable once onboarding has commenced. Ongoing support fees are not refundable for partially completed terms. Disputes regarding billing must be raised in writing within 14 days of the invoice date.
5. Acceptable Use
You agree to use Shule Link only for lawful purposes and in accordance with these Terms. You must not:
- Use the platform to send unsolicited, abusive, or illegal communications
- Attempt to gain unauthorised access to any part of the platform or its infrastructure
- Upload or transmit malicious code, viruses, or harmful content
- Use the platform in any way that could damage, disable, or impair its functionality
- Reverse-engineer, decompile, or attempt to extract the source code of the platform
- Resell or sublicence access to the platform without our written consent
- Use the platform to store or process data in violation of applicable Kenyan law
- Misrepresent your identity or the identity of your organisation
Shule Link reserves the right to suspend or terminate your access immediately for serious breaches of this section.
6. Your Data
a) Ownership
You retain full ownership of all data you enter into the Shule Link platform, including student records, financial data, and communications. Shule Link does not claim any ownership over your data.
b) Our role
Shule Link acts as a data processor on your behalf. You, as the school or organisation, act as the data controller and are responsible for ensuring your use of the platform complies with the Data Protection Act, 2019 and any applicable privacy obligations to students and parents.
c) Data export
You may request an export of your data at any time during your active subscription. Shule Link will provide a data export in a standard format within 7 business days of request.
d) Data after termination
Following termination of your subscription, your data will be retained for 12 months to allow reactivation or export requests, after which it will be permanently deleted from our systems.
7. Intellectual Property
The Shule Link platform, including its software, design, branding, and documentation, is the exclusive intellectual property of Shule Link Technologies and is protected by Kenyan and international intellectual property laws.
Your subscription grants you a limited, non-exclusive, non-transferable licence to use the platform for your internal school management purposes. You may not copy, modify, distribute, or create derivative works from any part of the Shule Link platform without our prior written consent.
The Shule Link name, logo, and associated branding are trademarks of Shule Link Technologies. Unauthorised use is prohibited.
8. Third-Party Services
Shule Link integrates with third-party services including Safaricom M-Pesa, Kenyan banks, SMS gateways, and WhatsApp Business API. These integrations are subject to the terms and conditions of the respective third-party providers.
Shule Link is not responsible for the availability, accuracy, or performance of third-party services. Downtime or changes by third-party providers (for example, M-Pesa API changes) may affect certain features of the platform and do not constitute a breach of these Terms by Shule Link.
9. Availability and Uptime
Shule Link aims to provide a reliable, cloud-based platform with high availability. However, we do not guarantee uninterrupted or error-free service. Scheduled maintenance will be communicated in advance where possible.
Shule Link shall not be liable for downtime caused by circumstances beyond our reasonable control, including but not limited to internet infrastructure failures, force majeure events, or third-party provider outages.
10. Limitation of Liability
To the maximum extent permitted by applicable Kenyan law, Shule Link's total liability to you for any claim arising out of or related to these Terms or your use of the platform shall not exceed the total fees paid by you to Shule Link in the three months immediately preceding the event giving rise to the claim.
Shule Link shall not be liable for:
- Loss of data resulting from your failure to maintain adequate backups (Shule Link performs automated backups but these do not replace your own backup obligations)
- Indirect, incidental, special, or consequential damages
- Loss of revenue or profits arising from platform unavailability
- Actions taken by your users or third parties
Nothing in these Terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under Kenyan law.
11. Termination
a) Termination by you
You may terminate your subscription at any time by providing 30 days' written notice to info@shulelink.co.ke. Termination does not entitle you to a refund of any fees already paid.
b) Termination by Shule Link
Shule Link may terminate or suspend your access immediately and without notice if you:
- Materially breach these Terms and fail to remedy the breach within 14 days of notice
- Fail to pay outstanding fees after a reminder notice
- Engage in illegal activity through the platform
- Become insolvent or cease operations
c) Effect of termination
Upon termination, your access to the platform will cease. Your data will be retained for 12 months as described in Section 6. Any outstanding fees remain payable.
12. Disputes and Governing Law
These Terms are governed by and construed in accordance with the laws of Kenya. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.
Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days from written notice of the dispute.
13. Changes to These Terms
Shule Link reserves the right to update these Terms at any time. When we do, we will revise the "Last Updated" date and notify active subscribers via email or in-platform notification at least 14 days before the changes take effect.
Your continued use of the platform after the effective date of revised Terms constitutes your acceptance of the updated Terms. If you do not agree with the changes, you may terminate your subscription in accordance with Section 11.
